Terms of Service

By accessing our website, creating an account, or purchasing a subscription or one-time plan from GrowShines, you agree to be bound by these Terms of Service. Please read them carefully before using our platform.

1. Company Information & Merchant of Record

GrowShines (growshines.com) is operated by GROW SHINE LTD., a company incorporated in Bangladesh under the Companies Act 1994, registration number C-183520/2022, with its registered office at Road-21, Sector-11, Uttara, Dhaka-1230, Bangladesh. GROW SHINE LTD. is VAT-registered under BIN 005315208-8854. References in these terms to "GrowShines," "we," "us," or "our" refer to GROW SHINE LTD.

GrowShines provides a growth services and software platform where specialists and automated tools deliver product imagery, sales videos, advertising campaigns, SEO, and content marketing solutions.

2. Account Eligibility & Security

• You must be at least 18 years of age and capable of entering into a legally binding contract to use our services.
• You are required to provide accurate, current, and complete billing and contact information.
• You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Free trials are limited to one per individual or business entity. Creating duplicate accounts to circumvent trial limits will result in immediate termination without notice.

3. Billing, Pricing & Taxes

• All prices on our platform are displayed and billed in US Dollars (USD) unless otherwise stated.
• Payments are processed securely via Paddle. We do not store your credit card or sensitive payment details on our servers.
• As our Merchant of Record, Paddle will automatically calculate and collect any applicable Value Added Tax (VAT), Goods and Services Tax (GST), or local sales taxes based on your billing address.
• Advertising budget spend, third-party API costs, premium stock media licenses, and external ad platform charges are separate from your GrowShines subscription fee.

4. Subscriptions, Auto-Renewal & Cancellations

• Subscription plans are billed in advance on a recurring monthly or annual basis, depending on the billing cycle you select at checkout.
• Your subscription will automatically renew at the end of each billing cycle unless you cancel it at least 24 hours before the renewal date.
• You may cancel your subscription at any time directly from your GrowShines account dashboard. There are no cancellation fees.
• Upon cancellation, your subscription will remain active until the end of your current paid billing period. Unused allowances (such as image or video credits) expire at the end of the billing cycle and do not roll over.

5. Refund & Chargeback Policy

We strive to ensure complete satisfaction with our deliverables and SaaS features. All refund requests, eligibility criteria, and dispute resolutions are governed by our official Refund Policy. Please review our full Refund Policy prior to making a purchase.

Initiating a fraudulent chargeback or payment dispute through your bank or payment provider without contacting our support team first constitutes a material breach of these terms and will result in immediate account suspension.

6. Client Assets & License to Use

You retain full ownership of all product photos, brand guidelines, logos, and briefs you upload to our platform. By uploading materials, you grant GrowShines a limited, non-exclusive license to use, modify, and process those assets solely for the purpose of fulfilling your order. You warrant that you own or have the legal right to use any materials you provide.

You strictly agree not to use GrowShines to promote, advertise, or generate content for:

• Illegal products, services, or activities in your jurisdiction or Bangladesh.
• Counterfeit goods, trademark infringements, or unauthorized replicas.
• Adult content, gambling, betting platforms, unlicensed financial services, weapons, or controlled substances.
• Misleading, fraudulent, or unsubstantiated medical, health, or income guarantees.
• Hateful, defamatory, harassing, or malicious software and phishing schemes.

We reserve the right to immediately suspend or terminate any account that violates this Acceptable Use Policy without liability or refund.

9. Delivery Timelines & Revisions

Estimated turnaround times listed on plan pages are working estimates that begin only after we receive all required onboarding materials and clear briefs from you. We provide reasonable revisions if a deliverable fails to conform to your initial brief. Introducing new requirements or materially changing the brief after work has commenced will be treated as a new task.

10. Performance Disclaimer

While our specialists apply industry-best practices to optimize your marketing campaigns, SEO rankings, and creative assets, we cannot guarantee specific financial returns, sales volume, or ad performance. Success depends on third-party platform algorithms, market conditions, and your pricing strategy.

11. Limitation of Liability

To the maximum extent permitted by applicable law, GrowShines and GROW SHINE LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total cumulative liability for any claim arising out of these terms shall not exceed the amount actually paid by you to us during the three (3) months preceding the claim.

12. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. If material changes are made, we will notify you via email or through your account dashboard at least 14 days prior to the effective date. Your continued use of the service constitutes acceptance of the revised terms.

13. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles. Any legal action or proceeding arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh. Nothing in these terms deprives you of mandatory consumer protections under the laws of your country of residence.
